Terms of Business (AGB)

This is an informal courtesy translation. The German version below is the legally binding text.
§1 Scope
These terms apply to all contracts between Knox Design Studio, Haarenfeld 52A, 26129 Oldenburg (Oldb) ("we", "Knox") and clients ("you") for the design services offered on this site, whether ordered via cart/checkout or by individual enquiry. Services are addressed to businesses (Unternehmer) under § 14 BGB.
§2 Contract formation
Package listings are an invitation to order, not a binding offer from us. Completing checkout ("Place order") is your binding offer; the contract forms on our confirmation. For individually scoped projects ("from €X" packages), the contract forms on our written price confirmation and your acceptance.
§3 Scope of services
Each package's scope is as described on its service page at the time of order, including included revision rounds. Additional work is billed separately, by prior written agreement.
§4 Prices and payment
All prices are net, plus statutory VAT (currently 19%). For one-off projects, a 50% deposit is due at project start; the remainder is invoiced on delivery of final results. Monthly services (Social Media & Content Design, Design Subscription) bill monthly in advance. Invoices are due within 14 days of the invoice date unless otherwise agreed.
§5 Your cooperation
You provide the materials, access, and feedback needed on time (see /process/). Delays caused by late input shift the agreed timeline accordingly.
§6 Revisions
Included revision rounds are stated per package. Further revisions are billed at a separately communicated hourly rate, by prior agreement.
§7 Usage rights
On full payment, we grant you the usage rights needed for the agreed purpose, unlimited in time and territory. Until full payment, all rights remain with Knox Design Studio.
§8 Reference use
We may reference completed projects only in anonymised, sector- and region-framed form. Naming your business or using your logo requires your prior written consent.
§9 Term and cancellation of monthly services
Monthly services run until cancelled, effective at the end of the current billing month. Cancellation, pause, and one-off refund terms are set out on the Cancellation & Refunds page.
§10 Liability
We are liable without limit for intent and gross negligence, and under product liability law. For slightly negligent breach of a material contractual duty, liability is limited to foreseeable, typical damage. Liability for slight negligence is otherwise excluded.
§11 Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction, where you are a registered merchant (Kaufmann/Kauffrau), a public-law legal entity, or a public special fund, is Oldenburg (Oldb). Should any provision be invalid, the remainder stays in effect.
